A protocol has no CEO and no office, and an NFT can be anything from a simple image to an investment product. In this lesson, we'll look at who regulators are really going after, how the US and EU approaches to these markets differ, and what it all means for an everyday user.

Key takeaways

Regulators can rarely control the smart contract itself, so they put pressure on points of control: websites, developers, stablecoin issuers and exchanges.

In the EU, MiCA formally doesn't cover fully decentralized services or unique NFTs, but anything with an intermediary falls under supervision.

An NFT can be classed as a security or a financial instrument if it's sold as an investment with a promise of returns.

Rules vary by country and change fast, so check the current regulations in your jurisdiction and don't treat this lesson as legal advice.

In this lesson

Why DeFi and NFTs don't fit existing laws

Who actually gets regulated

How the EU and the US approach it

NFTs: when an image becomes a security

What this means for an ordinary user

Where the rules are heading

Why DeFi and NFTs don't fit existing laws

Financial law is built around intermediaries: a bank, broker or exchange gets a license, verifies its customers and answers to a regulator. DeFi is different, because there's often no intermediary at all. A smart contract handles the swap or loan, nobody can stop it, and governance is spread across token holders.

NFTs bring their own headache. Technically, they're a single format, but they're used for digital art, in-game items, tickets, club memberships and shares in income-generating assets. You can't regulate all of that the same way, so regulators look past the technology at what exactly is being sold and what the buyer is promised.

As a result, most countries don't write dedicated laws for DeFi and NFTs. Instead, they apply existing rules on securities, taxes, consumer protection, sanctions and anti-money laundering. The real question is which participants those rules can actually be applied to.

Term · Point of control

A participant in the ecosystem that a regulator can actually put pressure on: a development company, a website operator, a stablecoin issuer, an exchange or a payment service. These are the channels through which rules reach decentralized markets.

Who actually gets regulated

Even a decentralized protocol usually has real people and companies behind it. That's where regulators focus, and users feel it as restrictions in the interfaces they already use.

Back in 2021, the FATF, which sets global anti-money laundering standards, said that if the creators and operators of a DeFi project keep control or significant influence over it, they can be treated as virtual asset service providers. In that case, they face the same customer verification requirements as exchanges.

Protocol web interfaces: the companies that run them block access from certain countries and from addresses on sanctions lists.

Developers: in several countries, cases have been brought against people who wrote the code, especially for coin mixing services.

Stablecoin issuers: they have to comply with sanctions and can freeze tokens at specific addresses.

Centralized exchanges and exchange services: money flows in and out of DeFi through them, and full customer verification applies here.

DAOs and governance token holders: in some cases, regulators have treated them as members of an association responsible for the protocol.

How the EU and the US approach it

The EU's MiCA regulation has been fully in force since December 30, 2024. It requires licenses from stablecoin issuers and crypto-asset service providers, but it explicitly says that services provided in a fully decentralized way, without an intermediary, fall outside its scope. Unique NFTs are excluded too, except those issued in large series or as fractions, which effectively turns them into fungible assets. At the same time, a rule requiring sender and recipient data to accompany crypto transfers took effect, and from 2026, under the DAC8 directive, providers collect customer information for tax authorities.

In 2025, the tone in the US softened noticeably. The SEC closed a number of investigations and cases against crypto companies, Congress repealed a rule that would have required DeFi front ends to report to the IRS as brokers, and in the summer of 2025 the GENIUS Act on stablecoins became law. A crypto market structure bill meant to split oversight between the SEC and the CFTC is still being worked out, so keep an eye on its status. But anti-money laundering and sanctions requirements haven't gone anywhere: in 2025, a jury found Tornado Cash developer Roman Storm guilty on one of the charges.

Law or regulator

Where it applies

What matters for DeFi and NFTs

MiCA

European Union

Licenses for intermediaries, exemptions for fully decentralized services and unique NFTs

Transfer of funds rule (Travel Rule)

European Union

Exchanges pass on sender and recipient data, including for withdrawals to a personal wallet

DAC8

European Union

Providers report customer and transaction information to tax authorities

FATF standards

A benchmark for most countries

DeFi operators with control over a protocol may be treated as service providers

SEC, CFTC, OFAC

USA

Securities, derivatives and sanctions; the SEC's approach softened noticeably in 2025, but OFAC sanctions still apply

Important · Dates and statuses change

Crypto laws are being passed and revised faster than in almost any other field right now. Before you make a decision that depends on the rules, check the current version on the regulator's website or with a lawyer.

NFTs: when an image becomes a security

Financial regulators usually don't care that you bought a collectible image or an in-game item. Things change when an NFT is sold as an investment: the team promises to drive up its value or offers a share of the project's revenue, dividends or a buyback at a fixed price. Then, depending on the jurisdiction, the token may be classed as a security or a financial instrument, with all the issuance requirements that come with it.

In 2023, the SEC fined the creators of two NFT collections that marketed their tokens as an investment with growth potential. Two years later, under new leadership, the agency closed its investigation into the OpenSea marketplace, which shows how much the approach depends on the political climate. But the principle hasn't changed: the economic substance of a deal matters more than what the token is called.

Don't forget about copyright either. Buying an NFT generally doesn't give you the copyright to the image. You own the token, while your rights to use the picture are set out in that particular collection's terms. If you plan to use it commercially, read the project's license before you buy.

Example · Two different collections

A collection of drawings where the artist promises nothing beyond the image itself will most likely stay a collectible. A collection where the team promises to buy back tokens and share revenue from a future business is, in substance, much closer to an investment product.

What this means for an ordinary user

For a DeFi or NFT user, regulation looks very concrete: a protocol's website suddenly stops loading in your country, an exchange asks you to prove the wallet is yours, or stablecoins sitting at an address linked to sanctioned transactions get frozen.

The main thing to remember is that DeFi and the NFT market offer almost none of the investor protection you're used to. If a protocol gets hacked or a project disappears, there's usually nowhere to complain with a real chance of getting your money back. Your tax obligations still apply, though: in many countries, token swaps, income from liquidity pools and NFT sales all count as taxable events.

Find out how your country classifies crypto and NFTs and which transactions are taxable.

Keep your transaction history: hashes, dates, amounts and exchange rates at the time of each transaction.

Don't bypass geo-blocks on websites: it may violate both the terms of service and the law.

Don't accept funds from addresses of unknown origin, and don't use mixers.

Follow the official websites of your country's regulators and tax authority.

Where the rules are heading

Trying to predict specific laws is pointless, but a few trends are already clear. The first is transparency for tax authorities: dozens of countries have backed CARF, the OECD's framework for exchanging information on crypto assets, and crypto providers are gradually starting to share customer data the same way banks share account data.

The second is dedicated rules for stablecoins: reserve requirements, issuer licenses and reporting. The third is close attention to the entry points into DeFi: front ends, wallets with built-in swaps, and aggregators. The smart contracts themselves will keep running, but using them anonymously through convenient services will keep getting harder.

Tip · Where to follow the changes

News recaps are convenient, but they often oversimplify or exaggerate what's actually changing. Primary sources are more reliable: the websites of your country's regulators and tax authority, and for the EU, ESMA publications.

<circle cx="12" cy="12" r="9"/><circle cx="12" cy="12" r="5"/><circle cx="12" cy="12" r="1.5"/>

Lesson task

Open the website of one DeFi protocol or NFT marketplace (don't connect your wallet) and find the sections in its terms of use about country restrictions and address blocking. Write down which company is behind the front end and where it's registered, whether your country is on the restricted list, and under what conditions the service denies access. That's the "point of control" from this lesson: you'll see who the rules pass through on their way to a decentralized service.

Learn and earnFree tournaments every day — your way to USDT prizes

Entry is free and you trade on a demo account, so you need no money of your own.
